Raymond Lifestyle Limited was originally incorporated as a Private Limited Company in name and style of 'Ray Universal Trading Private Limited' vide Certificate of Incorporation dated October 26, 2018 issued by Deputy Registrar of Companies, Central Registration Centre. Subsequently, Company was converted into a Public Limited Company dated March 3, 2020, pursuant to the change in name to Ray Universal Trading Limited'. Further, the name changed to 'Raymond Consumer Care Limited' dated July 18, 2020 and further, the Company was renamed as 'Raymond Lifestyle Limited' and a fresh Certificate of incorporation dated May 2, 2024 was issued by the Registrar of Companies, Central Processing Centre. RLL is a leading Indian Textile, Lifestyle and Branded Apparel company. Company has its wide network of operations in local as well foreign market. It is a textile powerhouse with modern infrastructure and strong fibre-to-fabric manufacturing capabilities and provide exclusive shirting and suiting fabrics across a plethora of options such as worsted fabrics, cotton, wool blends, linen and denim. The Company began the journey in year 1925 amid the forested landscapes of Thane, where it established a modest woollen mill to produce coarse fabrics and blankets for the Indian Defence Forces. As colonial imports dominated India's textile landscape, Albert Raymond laid the foundation for a mill by the creek in Thane to create a high quality Indian alternative in a market led by British goods. Raymond Woollen Mill was established focusing on quality and self-reliance, rather than on achieving scale. In 1946, Company took the first step by launching the Sulzer looms to the business operations, which proved as benchmarks in Indian textile manufacturing. That same year, it established Combing Division, enabling the production of blended fabrics using cutting-edge global processes. By the 1990s, Raymond had become more than a textile brand, it had established itself as a cultural icon. In 2006, Company commissioned state-of-the-art manufacturing facility in Vapi, a vertically integrated unit for formal wear. Between 2004 and 2016, Company led an era of functional innovation with breakthroughs like Super 220s, Technosmart, and the iconic Super 250s - the world's finest suiting fabric made from 11.4-micron wool. Crafted from an exclusive wool lot won in a global auction, only sixty suit lengths were produced, setting a new global benchmark in luxury. This era also marked the entry in the Greenfield textile plant at Amravati. The Company later commissioned a Greenfield manufacturing facility in Ethiopia under Silver Spark PLC, strengthening the global supply chain in 2017. It established India's first Greenfield linen manufacturing plant in Amravati in 2018. In 2024, following the Composite Scheme of Amalgamation & Arrangement between Raymond Limited, the Company, Ray Global Consumer Trading Limited and their respective shareholders and Creditors, the Lifestyle Business Undertaking of Raymond Limited was demerged into the Company as a going concern from April 1, 2023 and the Scheme of Demerger was given effect on June 30, 2024. Upon Demerger of the Lifestyle undertaking from Raymond Limited to the Company, the Company has issued 6,09,23,629 Equity shares of Rs. 2/- each to the shareholders of Raymond Limited on a proportionate basis. Further, Ray Global Consumer Trading Limited got amalgamated with the Company. In terms of consideration, 4 equity share of the Company of Face Value of Rs 2/- each fully paid up for every 5 equity shares of Raymond Limited of Rs 10/- each fully paid up was issued. 6,09,23,629 Equity shares of Rs. 2/- each were allotted pursuant to Scheme of Arrangement.
