Shashijit Infraprojects Ltdhas informed BSE that the meeting of the Board of Directors of the Company is scheduled on 17/01/2025 inter alia to consider and approve 1) increase in authorized share capital and consequent alteration of Capital Clause of Memorandum of Association of the company subject to approval of shareholders. 2) proposal for raising of funds by way of issue of equity shares in one or more tranche on a preferential basis for a consideration and at such price as may be arrived at pursuant to Chapter V of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirement) Regulations 2018 (each as amended from time to time) (ICDR Regulations) read with the applicable provisions of the Companies Act 2013 and in such manner and on such terms and conditions as may be deemed appropriate by the Board or its duly constituted committee of the Board in its absolute discretion subject to the receipt of necessary approvals including the approval of the members of the Company at a general meeting or through postal ballot and such other regulatory / statutory approvals as may be required.
