'Brainbees Solutions Limited' was incorporated on May 17, 2010, as a private limited company, as 'Brainbees Solutions Private Limited', in Pune pursuant to a certificate of incorporation issued by the RoC. Upon the conversion of the Company to a public limited, the name of the Company was changed to 'Brainbees Solutions Limited'. A fresh certificate of incorporation dated November 2, 2023 was issued by the RoC. The Company is engaged in the business of buying, selling, advertising, promoting baby and kids products and Fast Moving Consumer Goods on a wholesale basis through various business partners. The Company has also ventured into pre school business for kids through various franchisee partners in India. The Company opened its first 'Firstcry.com' franchisee physical store at Bharuch, Gujarat in 2010 and launched the home brands 'BabyHug' and 'Cutewalk' in 2011; launched Firstcryhospital gift hamper program in 2013. It acquired the 'Babyoye' business from erstwhile MRL in 2016. Firstcry parenting platform was opened for business in 2017. The Company launched premium fashion brand for babywear 'Babyoye' in 2018; launched Firstcry.ae in UAE in 2019. The Company entered into the Preschool education business in 2019. The first BabyHug company owned physical store opened in Dhanori district of Pune, Maharashtra in 2020. The Company acquired majority stake in Swara Baby Products Private Limited, a diaper manufacturing company in 2020. It commenced operations in Kingdom of Saudi Arabia in 2022 and increased the sharesholdings in the subsidiary, Swara Baby in 2023. The Company launched IPO aggregating an issuance of 9,01,94,432 equity shares of Face Value of Rs 2 each by raising funds aggregating to Rs 4193.73 Crore, comprising a fresh issue of 35,834.,699 equity shares to Rs 1666 Core and offer for sale of 2527.73 Cr by issuing 54,359,733 equity shares in August, 2024. Company scaled the physical retail presence, increasing the number of modern stores from 1,063 as of March 2024 to 1,156 as of March 2025 across India, enhancing brand presence and customer accessibility.
