Vaghani Techno-Build Limited, formerly known as Dhruv Makhan (I) Limited was incorporated on 6 October, 1994 as a public limited company. Name of the Company was changed from 'Dhruv Makhan (I) Limited' to ' Vaghani Techno-Build Limited' w.e.f. 2th October, 2006. The Company is presently engaged in trading of Transfer of Development Rights (TDR) and Real Estate Development. The company set up a plant at Badarkha, Gujarat, with an installed capacity of 9900 liter per day to manufacture and process pasteurised milk. The company came out with a public issue of 55,60,000 shares of Rs 10 each for cash at par aggregating to Rs 556 lac, to part-finance the project. By completion of open offer process, Company has transitioned from a loss making position to posting a net profit in the current period 2024-25. With the induction of new Promoters and a reconstituted management team, the Company has entered a transformative phase. The Object Clause of the Memorandum of Association has been amended after obtaining necessary approvals from shareholders and statutory authorities. The revised Object Clause now aligns with the new business activities the Company proposes to undertake, providing it with greater flexibility to diversify and grow across different sectors. The Company has altered its Object Clause of Memorandum of Association of the company by passing special resolution through Postal Ballot dated 12th May 2025 to include Renewable Energy generation and Pharmaceuticals. Further, Company intends to add hospitality object in main object of the Company during the year 2024-25.
