RDB Real Estate Construction Ltd

RDB Real Estate Construction Limited was incorporated on July 27, 2018 as a Private Company limited by shares in West Bengal under the name and style of 'Baron Real Estate Private Limited'. The Company was subsequently converted into a Public Company limited by shares and a fresh Certificate of Incorporation was given by the Registrar of Companies, West Bengal on September 17, 2018. Later, the Company name was changed to 'RDB Real Estate Construction Limited' and a fresh Certificate of Incorporation upon change of name was issued by the Registrar of Companies, West Bengal on January 30, 2019. The Company is mainly engaged in the business of Real Estate. The Hon'ble National Company Law Tribunal, Kolkata Bench vide its order dated May 21, 2024 has approved the Scheme of Arrangement between the Company and RDB Realty & Infrastructure Limited, where the Realty Business Undertaking of the Company has been transferred to and vested with the Company effective from October 1, 2022. Accordingly, in terms of the said Scheme, the Company has issued and allotted 1,72,83,400 Equity Shares of the Company of Rs 10/- each on 30-08-2024 in the ratio of 1 Equity Share of Rs 10/- each credited as fully paid-up for every 1 Equity Share of Rs 10/- each fully paid up held by such Equity Shareholder in RDB Realty & Infrastructure Limited. During the year 2024-25, the Company has executed and handed over possession of Residential/Commercial projects covering an area of around 48,451 square feet. Presently, the Company has four on-going projects, at various stages of planning and development. These include housing projects, integrated townships, shopping malls and commercial complexes.
