About Raksan Transformers Ltd

Our Company was originally incorporated as a Private Limited Company under the provisions of the Companies Act, 1956, in the name and style of Raksan Transformers Private Limited, pursuant to a Certificate of Incorporation dated July 21, 1995, issued by the Registrar of Companies, Punjab, Himachal Pradesh & Chandigarh, bearing CIN: U31103PB1995PTC016812. Subsequently, pursuant to a Special Resolution passed at the Extra-Ordinary General Meeting held on January 30, 2008, our Company shifted its registered office from the State of Punjab to the National Capital Territory of Delhi, with effect from October 15, 2008, and consequently, the CIN of our Company was changed to U31103DL1995PTC184910. Further, pursuant to a Special Resolution passed by the Shareholders at the Extra-Ordinary General Meeting held on March 26, 2025, our Company was converted into a Public Limited Company and the name of our Company was changed from Raksan Transformers Private Limited to Raksan Transformers Limited. A fresh Certificate of Incorporation dated May 14, 2025 was issued by the Registrar of Companies, Central Processing Centre, Manesar, bearing CIN: U31103DL1995PLC184910.

Imports of Electrical Machinery in India increased to US$ 12.30 billion in FY24. The Indian electrical equipment industry comprises 2 broad segments, Generation equipment (boilers, turbines, generators) and Transmission & Distribution (T&D) and allied equipment like transformers, cables, transmission lines, etc. The sector contributes about 8% to the manufacturing sector in terms of value, and 1.5% to overall GDP. Incentives for capacity addition in power generation will further increase the demand for electrical machinery. The electrical equipment market share in India is expected to increase by US$ 52.98 billion from 2022 to reach US$ 124.83 billion in 2027, and the market's growth momentum will accelerate at a CAGR of 11.68%. The electrical equipment market is valued at US$ 71.85 in FY22. In FY23, India's heavy electrical equipment production stood at Rs. 2,44,300 crore (US$ 29.38 billion). The electrical machinery segment grew nearly 13% with shipments jumping to US$ 10.19 billion in the April-December 2023 from US$ 9.06 billion in the year-ago period.

The company derives a substantial portion of our revenue from the supply of transformers to public utility companies including government entities who constituted 72.99%, 56.13% and 3.53% of its revenue from operations during the Fiscal 2025, Fiscal 2024 and Fiscal 2023. Additionally, the Company's business is largely dependent upon the demand for power generation, transmission and distribution which is closely linked to Government policies. Any economy downturn or change in government policy may have an adverse impact on its business, financial condition, cash flows and results of operations.

A significant portion of the Company's revenue is derived from government-controlled entities, who follow the tendering process for determination of suppliers. The company may be adversely affected if the company does not succeed in all or a majority of the contracts that the company tender for or are abstained from bidding new tenders.

The Company's order book may not be representative of its future results and its actual income may be significantly less than the estimates reflected in the Company's order book, which could adversely affect the its business, financial condition, results of operations and prospects.
