Pursuant to the Scheme of Arrangement effective January 1, 2025, the Demerged Undertaking comprising the Hotels Business of ITC Limited was demerged from ITC Limited into the Company as a going concern basis and in consideration, the Company issued 2,08,11,71,040 Equity Shares of Re 1/- each to the shareholders of ITC Limited. Hotels Business represents one of India's pre-eminent hospitality chains, embodying the essence of Indian hospitality and sustainability.
