IFL Enterprises Ltdhas informed BSE that the meeting of the Board of Directors of the Company is scheduled on 01/08/2025 ,inter alia, to consider and approve 1. To consider and evaluate a proposal received from UNIQUBE GLOBAL MANAGED SERVICES PTE. LTD., Singapore, expressing interest in acquiring up to 12% equity stake in the Company through a strategic investment route; 2. To review the contents of the Letter of Intent received from the said foreign entity and assess the potential commercial, financial, and regulatory implications; 3.To authorize initiation of necessary due diligence, compliance procedures, and discussions for structuring the transaction in accordance with applicable laws including SEBI, FEMA, and RBI regulations; 4. Any other matter with the permission of the Chair IFL Enterprises Ltdhas informed BSE that the meeting of the Board of Directors of the Company is scheduled on 01/08/2025 ,inter alia, to consider and approve Update on board meeting- Disclosure of Indicative Offer Price ?2.00 (Rupees Two only) per share, under Letter of Intent Received from UNIQUBE GLOBAL MANAGED SERVICES PTE. LTD. With reference to our earlier disclosure dated July 21, 2025, submitted pursuant to Regulation 29 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, regarding the receipt of a Letter of Intent (LOI) from UNIQUBE GLOBAL MANAGED SERVICES PTE. LTD., we wish to submit the following correction and clarification in continuation to the said announcement: The Company had inadvertently omitted to disclose the indicative reference price mentioned in the LOI received from UNIQUBE GLOBAL. We hereby clarify that as per the terms of the LOI received from UNIQUBE GLOBAL MANAGED SERVICES PTE. LTD., a reputed Singapore-based strategic investor, has expressed its intention to acquire up to 12% strategic minority equity stake in IFL Enterprises Limited at an indicative reference price of ?2.00 (Rupees Two only) per share, subject to internal approvals, applicable Indian regulatory clearances, and execution of definitive agreements.
