ITC Hotels Limited was incorporated as a Public Limited Company and a Certificate of Incorporation dated July 28, 2023 was issued by the Registrar of Companies, West Bengal. Pursuant to the Scheme of Arrangement effective January 1, 2025, the Demerged Undertaking comprising the Hotels Business of ITC Limited was demerged from ITC Limited into the Company as a going concern basis and in consideration, the Company issued 2,08,11,71,040 Equity Shares of Re 1/- each to the shareholders of ITC Limited. Hotels Business represents one of India's pre-eminent hospitality chains, embodying the essence of Indian hospitality and sustainability.
The Company is engaged in the business of, inter alia, owning, licensing, operating and managing hotels and resorts, directly and through its Subsidiaries, Associates and Joint Venture.

About Velan Hotels Ltd

Incorporated as a Private limited company in March, 1990, Velan Hotels Limited (VHL) was converted into a Public limited company in Jun.'92.
It was promoted by Shri E.V. Muthukumara Ramalingam and his Associates.
The Company operate two hotels and four stand-alone restaurants and is presently engaged in the business of providing Hospitality Services including running restaurants with a bar for their Chain of Hotels. VHL had set up Hotel Greenfields in South Tirupur, Tamilnadu, at an estimated cost of Rs 5 Crore and commence commercial operations by Oct.'92.
Due to certain unavoidable reasons, the project was delayed and there was cost and time overrun.
The hotel commenced partial operations in Jul.'93.
